\u00a7 1 Scope \u2014 General<\/strong><\/h3>

The\u00adse Gene\u00adral Terms and Con\u00addi\u00adti\u00adons shall app\u00adly to all ser\u00advices and legal acts per\u00adfor\u00admed by IPC Hor\u00admann GmbH (IPC). They shall also app\u00adly to all future busi\u00adness rela\u00adti\u00adons with mer\u00adchants and legal enti\u00adties under public law. Con\u00adflic\u00adting or devia\u00adting terms and con\u00addi\u00adti\u00adons of the prin\u00adci\u00adpal shall only app\u00adly if they have been ack\u00adnow\u00adled\u00adged in wri\u00adting by IPC or express\u00adly con\u00adfirm\u00aded. As an inde\u00adpen\u00addent con\u00adtrol com\u00adpa\u00adny, IPC can only accept orders that do not com\u00adpro\u00admi\u00adse its inde\u00adpen\u00addence or neutrality. <\/p>

IPC docu\u00adments facts within the scope of its on-site inspec\u00adtion acti\u00advi\u00adties. Their com\u00adpre\u00adhen\u00adsi\u00adbi\u00adli\u00adty for the cli\u00adent or third par\u00adties is not one of the con\u00adtrac\u00adtu\u00adal obli\u00adga\u00adti\u00adons owed by IPC. <\/p>

Inso\u00adfar as the expert opi\u00adni\u00adons or state\u00adments pre\u00adpared by IPC con\u00adtain eva\u00adlua\u00adtions, the\u00adse shall be issued to the best of IPC\u2019s know\u00adledge and belief.<\/p>

\u00a7 2 Pla\u00adcing of order<\/strong><\/h3>

A con\u00adtrac\u00adtu\u00adal rela\u00adti\u00adonship shall come into effect as soon as IPC has sent a writ\u00adten order con\u00adfir\u00adma\u00adti\u00adon to the prin\u00adci\u00adpal or to an agent appoin\u00adted by him after receipt of an order. Amend\u00adments, sup\u00adple\u00adments and ver\u00adbal sub\u00adsi\u00addia\u00adry agree\u00adments or infor\u00adma\u00adti\u00adon must be in writ\u00adten form. <\/p>

The Cli\u00adent express\u00adly ack\u00adnow\u00adled\u00adges that decla\u00adra\u00adti\u00adons of intent, in par\u00adti\u00adcu\u00adlar orders, order con\u00adfir\u00adma\u00adti\u00adons and other writ\u00adten cor\u00adre\u00adspon\u00addence, are legal\u00adly bin\u00adding and effec\u00adti\u00adve even if they are sent or sub\u00admit\u00adted exclu\u00adsi\u00adve\u00adly by email. Decla\u00adra\u00adti\u00adons of intent requi\u00adring receipt shall be dee\u00admed to have been recei\u00adved on the day the email is sent. <\/p>

\u00a7 3 Duties of the Client<\/strong><\/h3>

The prin\u00adci\u00adpal is obli\u00adged to pro\u00advi\u00adde IPC con\u00adsci\u00aden\u00adtious\u00adly, com\u00adple\u00adte\u00adly and free of char\u00adge and in good time with all infor\u00adma\u00adti\u00adon, docu\u00adments and data neces\u00adsa\u00adry for the exe\u00adcu\u00adti\u00adon of the order. IPC is not obli\u00adged to check the com\u00adple\u00adten\u00adess and cor\u00adrect\u00adness of infor\u00adma\u00adti\u00adon or data made available to it by the prin\u00adci\u00adpal, unless the\u00adre is spe\u00adcial reason to do so in view of the cir\u00adcum\u00ads\u00adtances of the indi\u00advi\u00addu\u00adal case. <\/p>

If the exe\u00adcu\u00adti\u00adon of the order requi\u00adres the prin\u00adci\u00adpal to coope\u00adra\u00adte once or seve\u00adral times, he shall do so at his own expen\u00adse; expen\u00adses shall not be reim\u00adbur\u00adsed to him unless other\u00adwi\u00adse agreed. IPC shall be entit\u00adled to char\u00adge for any addi\u00adtio\u00adnal expen\u00adses incur\u00adred by it due to the lack of coope\u00adra\u00adti\u00adon on the part of the principal. <\/p>

If, after the order has been pla\u00adced, IPC is unable to pro\u00advi\u00adde ser\u00advices, in par\u00adti\u00adcu\u00adlar on-site inspec\u00adtion acti\u00advi\u00adties, for reasons for which IPC is not respon\u00adsi\u00adble, IPC shall be entit\u00adled to with\u00addraw from<\/p>

from the con\u00adtract. This shall also app\u00adly in the event that the prin\u00adci\u00adpal does not or not com\u00adple\u00adte\u00adly ful\u00adfil his obli\u00adga\u00adti\u00adons to coope\u00adra\u00adte after a dead\u00adline has been set. In the event of with\u00addra\u00adwal by IPC, the prin\u00adci\u00adpal shall be obli\u00adged to pay IPC 75% of the remu\u00adne\u00adra\u00adti\u00adon noti\u00adfied in the order con\u00adfir\u00adma\u00adti\u00adon plus cos\u00adts and expen\u00adses in the pro\u00adven amount plus any taxes. IPC shall be entit\u00adled to cla\u00adim hig\u00adher dama\u00adges ins\u00adtead. The prin\u00adci\u00adpal shall be entit\u00adled to pro\u00adve that no dama\u00adge or less dama\u00adge has been incurred. <\/p>

\u00a7 4 Acceptance<\/strong><\/h3>

Inso\u00adfar as the ser\u00advice pro\u00advi\u00added by IPC requi\u00adres accep\u00adtance, intellec\u00adtu\u00adal ser\u00advices shall be dee\u00admed to have been accept\u00aded unless the prin\u00adci\u00adpal express\u00adly rai\u00adses reser\u00adva\u00adtions in wri\u00adting within 10 days of receipt. IPC shall then check the ser\u00advice. If a reser\u00adva\u00adti\u00adon by the prin\u00adci\u00adpal pro\u00adves to be unju\u00ads\u00adti\u00adfied, he shall bear the addi\u00adtio\u00adnal cos\u00adts incur\u00adred by the review. <\/p>

\u00a7 5 Terms of payment<\/strong><\/h3>

Invoices issued by IPC are due for pay\u00adment wit\u00adhout deduc\u00adtion imme\u00addia\u00adte\u00adly, but no later than the date sta\u00adted on the respec\u00adti\u00adve invoice. The value added tax valid at the time of the final exe\u00adcu\u00adti\u00adon of the order shall be shown sepa\u00adra\u00adte\u00adly for the ser\u00advices ren\u00adde\u00adred by IPC and shall be reim\u00adbur\u00adsed by the prin\u00adci\u00adpal in addi\u00adti\u00adon to the order fee. This shall app\u00adly in the event of sub\u00adse\u00adquent invoi\u00adcing for ser\u00advices initi\u00adal\u00adly invoi\u00adced wit\u00adhout value added tax. In this respect, the Cli\u00adent wai\u00adves the defence of limi\u00adta\u00adti\u00adon for a peri\u00adod of 5 years from the date of the invoice. <\/p>

In the event of late pay\u00adment, the prin\u00adci\u00adpal shall pay inte\u00adrest on arre\u00adars at a rate of 8 per\u00adcen\u00adta\u00adge points abo\u00adve the base rate. In addi\u00adti\u00adon, IPC shall be entit\u00adled to char\u00adge the prin\u00adci\u00adpal \u20ac 5.00 plus any deli\u00advery cos\u00adts and trans\u00adla\u00adti\u00adon cos\u00adts for each remin\u00adder sent to the principal. <\/p>

Off\u00adset\u00adting by the prin\u00adci\u00adpal is only per\u00admis\u00adsi\u00adble with coun\u00adter\u00adclaims that have been legal\u00adly estab\u00adlished, are undis\u00adpu\u00adted or have been reco\u00adg\u00adnis\u00aded by IPC in wri\u00adting. The same shall app\u00adly to mer\u00adchants for the asser\u00adti\u00adon of rights of retention. <\/p>

\u00a7 6 Warranty<\/strong><\/h3>

The cli\u00adent and IPC agree, that IPC only owes ser\u00advices wit\u00adhout a spe\u00adci\u00adfic result and that it is sole\u00adly within the cli\u00adent\u2019s sphe\u00adre of decis\u00adi\u00adon and risk to make neces\u00adsa\u00adry decis\u00adi\u00adons based on the ser\u00advices pro\u00advi\u00added by IPC.<\/p>

If a ser\u00advice ren\u00adde\u00adred is defec\u00adti\u00adve, IPC may first demand sub\u00adse\u00adquent per\u00adfor\u00admance. Sub\u00adse\u00adquent per\u00adfor\u00admance shall be effec\u00adted at IPC\u2019s dis\u00adcre\u00adti\u00adon eit\u00adher by reme\u00addy\u00ading the defect (sub\u00adse\u00adquent impro\u00adve\u00adment) or by pro\u00advi\u00adding a new ser\u00advice (sub\u00adse\u00adquent deli\u00advery). Only after sub\u00adse\u00adquent per\u00adfor\u00admance has fai\u00adled shall the cli\u00adent have the right to demand, at his dis\u00adcre\u00adti\u00adon, a reduc\u00adtion in pay\u00adment or can\u00adcel\u00adla\u00adti\u00adon of the contract. <\/p>

Fur\u00adther war\u00adran\u00adty rights are excluded. In the event of only a minor breach of con\u00adtract, the cli\u00adent shall not be entit\u00adled to with\u00addraw from the con\u00adtract. This shall also app\u00adly in the event that IPC is not respon\u00adsi\u00adble for the breach of duty resul\u00adting from a defect. The prin\u00adci\u00adpal shall noti\u00adfy IPC in wri\u00adting of any com\u00adplaints wit\u00adhout delay, at the latest within a pre\u00adclu\u00adsi\u00adve peri\u00adod of 8 working days after the ser\u00advice has been han\u00added over to him or to a third par\u00adty named by the principal. <\/p>

\u00a7 7 Liability<\/strong><\/h3>

IPC shall be lia\u00adble for dama\u00adge cau\u00adsed by it or a vica\u00adrious agent inten\u00adtio\u00adnal\u00adly or through gross negli\u00adgence as well as for the negli\u00adgent breach of a mate\u00adri\u00adal con\u00adtrac\u00adtu\u00adal obli\u00adga\u00adti\u00adon. Lia\u00adbi\u00adli\u00adty in the event of gross negli\u00adgence or breach of a mate\u00adri\u00adal con\u00adtrac\u00adtu\u00adal duty shall be limi\u00adt\u00aded to com\u00adpen\u00adsa\u00adti\u00adon for the fore\u00adseeable dama\u00adge typi\u00adcal of the con\u00adtract. In the event of lia\u00adbi\u00adli\u00adty due to negli\u00adgence, the lia\u00adbi\u00adli\u00adty per case of dama\u00adge shall be limi\u00adt\u00aded to 1.5 times the amount of the remu\u00adne\u00adra\u00adti\u00adon due to IPC from the order. In all other respects, lia\u00adbi\u00adli\u00adty for per\u00adso\u00adnal inju\u00adry, pro\u00adper\u00adty dama\u00adge and finan\u00adcial loss in con\u00adnec\u00adtion with an order shall be limi\u00adt\u00aded to a maxi\u00admum of \u20ac 20,000.00, unless the dama\u00adge was cau\u00adsed inten\u00adtio\u00adnal\u00adly or by gross negligence. <\/p>

The cli\u00adent shall noti\u00adfy IPC of any dama\u00adge in wri\u00adting wit\u00adhout delay. Claims for dama\u00adges shall beco\u00adme sta\u00adtu\u00adte-bar\u00adred 3 months after receipt of the expert opi\u00adni\u00adon or the ser\u00advice by the cli\u00adent or the third par\u00adty named by him. <\/p>

\u00a7 8 Copyright<\/strong><\/h3>

IPC shall be exclu\u00adsi\u00adve\u00adly entit\u00adled to the copy\u00adright to all ser\u00advices ren\u00adde\u00adred by IPC. Only after full pay\u00adment of the remu\u00adne\u00adra\u00adti\u00adon invoi\u00adced by IPC shall the prin\u00adci\u00adpal be entit\u00adled to exploit the ser\u00advices pro\u00advi\u00added by IPC and to use them vis-\u00e0-vis third parties. <\/p>

The trans\u00adfer and explo\u00adita\u00adti\u00adon of the ser\u00advices pro\u00advi\u00added by IPC bey\u00adond the con\u00adtrac\u00adtual\u00adly agreed pur\u00adpo\u00adse, in par\u00adti\u00adcu\u00adlar their publi\u00adca\u00adti\u00adon, shall only be per\u00admit\u00adted with the writ\u00adten con\u00adsent of IPC. The cli\u00adent shall be sole\u00adly respon\u00adsi\u00adble for com\u00adpli\u00adance with the sta\u00adtu\u00adto\u00adry pro\u00advi\u00adsi\u00adons appli\u00adca\u00adble to the explo\u00adita\u00adti\u00adon of the ser\u00advice pro\u00advi\u00added by IPC (e.g. com\u00adpe\u00adti\u00adti\u00adon law), in par\u00adti\u00adcu\u00adlar for the con\u00adtent of adver\u00adti\u00adsing state\u00adments made in con\u00adnec\u00adtion with the ser\u00advice pro\u00advi\u00added by IPC. In this respect, the cli\u00adent shall indem\u00adni\u00adfy IPC against all third-par\u00adty claims. <\/p>

If the ser\u00advice pro\u00advi\u00added by IPC has been pas\u00adsed on to third par\u00adties befo\u00adre the invoice issued by IPC has been sett\u00adled in full, the prin\u00adci\u00adpal irre\u00advo\u00adca\u00adbly agrees to the ser\u00advice being han\u00added over to IPC.<\/p>

\u00a7 9 Place of per\u00adfor\u00admance, assignment<\/strong><\/h3>

The place of per\u00adfor\u00admance for all ser\u00advices shall be Walsrode.<\/p>

The assign\u00adment of claims to which the cus\u00adto\u00admer is entit\u00adled from the con\u00adtrac\u00adtu\u00adal rela\u00adti\u00adonship with IPC is excluded.<\/p>

\u00a7 10 Choice of law, place of jurisdiction<\/strong><\/h3>

The enti\u00adre con\u00adtrac\u00adtu\u00adal rela\u00adti\u00adonship and all claims ari\u00adsing from it shall be gover\u00adned exclu\u00adsi\u00adve\u00adly by the law of the Fede\u00adral Repu\u00adblic of Ger\u00adma\u00adny. In the event that pro\u00adcee\u00addings are brought befo\u00adre a court, the Ger\u00adman lan\u00adguage shall be agreed. Any trans\u00adla\u00adti\u00adon cos\u00adts or cos\u00adts of pro\u00adcee\u00addings shall be paid by the cli\u00adent to IPC. <\/p>

The exclu\u00adsi\u00adve place of juris\u00addic\u00adtion for all dis\u00adpu\u00adtes ari\u00adsing from the legal rela\u00adti\u00adonship bet\u00adween the cus\u00adto\u00admer and IPC shall be Wals\u00adro\u00adde and \u2014 in the case of a value in dis\u00adpu\u00adte of more than<\/p>

5,000.00 \u2014 the dis\u00adtrict court of Ver\u00adden. The same place of juris\u00addic\u00adtion shall app\u00adly if the client <\/p>

does not have a gene\u00adral place of juris\u00addic\u00adtion in Ger\u00adma\u00adny, moves his place of resi\u00addence or habi\u00adtu\u00adal abo\u00adde out of Ger\u00adma\u00adny after con\u00adclu\u00adsi\u00adon of the con\u00adtract or his place of resi\u00addence or habi\u00adtu\u00adal abo\u00adde is not known at the time the action is brought.<\/p>

\u00a7 11 Miscellaneous<\/strong><\/h3>

Should one or more pro\u00advi\u00adsi\u00adons of the\u00adse terms and con\u00addi\u00adti\u00adons be or beco\u00adme inva\u00adlid, this shall not affect the vali\u00addi\u00adty of the remai\u00adning pro\u00advi\u00adsi\u00adons. The inva\u00adlid pro\u00advi\u00adsi\u00adons shall be repla\u00adced by such pro\u00advi\u00adsi\u00adons that come clo\u00adsest to the eco\u00adno\u00admic pur\u00adpo\u00adse of the con\u00adtract in a legal\u00adly per\u00admis\u00adsi\u00adble man\u00adner, taking into account the regu\u00adla\u00adto\u00adry con\u00adtent of the inva\u00adlid provisions. <\/p>

Noti\u00adce in accordance with \u00a7 33 BDSG: Cus\u00adto\u00admer data is pro\u00adces\u00adsed electronically.<\/p>

The par\u00adties express\u00adly agree that e\u2011mail cor\u00adre\u00adspon\u00addence is used as com\u00admu\u00adni\u00adca\u00adti\u00adon and lead to legal reco\u00adgni\u00adti\u00adon. Any infor\u00adma\u00adti\u00adon that is abso\u00adlut\u00ade\u00adly neces\u00adsa\u00adry for the pro\u00adces\u00adsing of an order will be pas\u00adsed on to aut\u00adho\u00adri\u00adsed third par\u00adties. Other\u00adwi\u00adse, the data will only be mana\u00adged intern\u00adal\u00adly and stored securely. <\/p>

In the event that a cli\u00adent fails to pay IPC for ser\u00advices ren\u00adde\u00adred and not ques\u00adtio\u00adned despi\u00adte seve\u00adral remin\u00adders, IPC has the right to list the name of the cli\u00adent with his cont\u00adact details on the IPC home\u00adpage under the hea\u00adding black list.<\/p>
